Corporate Governance Administrator (Hybrid eligible)
Job Description
Summary
The Corporate Governance Administrator position will work as a member of the Legal team to lead the administration of the organization’s corporate governance, including the oversight and management of its policies and management committee documentation and activities.
Essential Duties and Responsibilities:
Organizes, monitors and updates key policies and maintains policy inventory in a central repository.
Partners with department leaders on reviewing and collaborating on new and updated policies.
Handles review requests for new policies and management committee charters.
Solicits and integrates input from risk management and other key stakeholders and works in cooperation to identify changes in controls as addressed in policies.
Provides policy oversight and guidance to business partners and leadership.
Administers record management for policies, charters and management committee materials.
Performs committee attendance monitoring, attends management committee meetings and prepares meeting minutes.
Works with department leaders to undertake appropriate pre-meeting and post-meeting steps to ensure implementation of action items and tracking of deliverables.
Maintains management committee membership inventory.
Provides administrative support for Board matters, as assigned.
Serves as point of contact for day-to-day process and policy activities.
Performs other duties as assigned.
Qualifications:
Corporate governance experience, including familiarity with governance documents (charters, minutes, policies, etc.
)
Strong organizational, critical thinking and problem solving skills with the ability to multitask and prioritize
Ability to adapt and handle change
Ability to work under pressure and tight deadlines and work independently
Ability to communicate verbally and in writing in a professional manner
Ability to produce concise and effective presentations and written materials
Detail-oriented
Ability to work in a cross-functional team environment
Ability to handle confidential and sensitive matters
Supervisory Responsibilities:
None
Education and/or Experience:
Bachelor's degree or equivalent level of experience and/or training
3+ years related experience
Experience working in Banking or Financial Services industry preferred
Experience developing policies and procedures and preparing meeting minutes preferred
Paralegal experience in a legal or other corporate environment preferred
Computer and Software Skills:
Advanced knowledge working with Microsoft office suite and Google Workspace (formerly G Suite)
Certificates, Licenses and Registrations:
Paralegal Certificate for ABA approved program for legal assistants/paralegal studies
